Founding Practitioner Partner Agreement
Version 1.0 · Effective 21 August 2026
Pacioli Bear Pty Ltd t/as Genvice, ACN 642 692 475 (Genvice, we, us, our)
Your practice name, ABN and primary contact details are those you provide when you apply for the Program at genvice.com, and your Pilot Start Date is the date we confirm your Program access in writing. Those details form part of this agreement.
1. What this document is
(a) This Founding Practitioner Partner Agreement (FPP Agreement) sets out the terms on which you participate in the Genvice Founding Practitioner Partner program (Program).
(b) It supplements the Genvice Website Terms & Conditions of Use published at genvice.com/terms (General Terms). The General Terms apply in full except to the extent expressly varied by this FPP Agreement.
(c) To the extent of any inconsistency, this FPP Agreement prevails, as contemplated by clause 3(c) of the General Terms.
(d) Capitalised terms not defined here have the meaning given in the General Terms. In particular, Customer Data has the meaning given in clause 19(a) of the General Terms.
(e) You accept this FPP Agreement when you apply for the Program at genvice.com and tick the box confirming you have read and accessed this document. We record the version you accepted and the date and time of acceptance. Where we materially change this document, we will ask you to accept the new version before it applies to you.
2. Definitions
Pilot Period means the period of 90 days beginning on the Pilot Start Date, unless extended by us in writing or ended earlier under clause 10.
Founder Pricing means the benefit described in clause 6.
Feedback means any comment, rating, flag, suggestion, correction, survey response, call recording or transcript, bug report or other input you provide to us about the Services, including edits you make to draft outputs.
Program Commitments means your obligations under clause 5.
3. Access during the Pilot Period
(a) We grant you access to the Services for the Pilot Period at no fee.
(b) Clause 6(a) of the General Terms (which requires purchase of a Subscription before access) does not apply during the Pilot Period. You are a Member for the purposes of the General Terms without holding a paid Subscription.
(c) You may use the Services across your entire client base, subject to any technical connection limits we notify to you.
(d) We may set reasonable usage limits and will tell you if any apply to your account.
4. Beta status — no service levels, no accuracy warranty
(a) The Services are provided during the Pilot Period on a pilot and early-access basis. They are under active development and may change materially, without notice.
(b) No service level or uptime commitment applies. The Services may be unavailable, interrupted, slow, or withdrawn for maintenance at any time. We are not obliged to provide support within any particular timeframe.
(c) Clause 10(d) of the General Terms applies in full and is central to this Program. Outputs are AI-generated drafts. They may contain errors, omissions or inaccuracies. You are solely responsible for reviewing, verifying, editing and approving every output before it is relied upon or delivered to any end client, and for all advice you provide to your end clients.
(d) Nothing in the Services is financial product advice, tax advice, legal advice, or a substitute for your professional judgement. You remain solely responsible for your professional obligations, including any obligations as a registered BAS agent or under the Tax Agent Services Act 2009 (Cth).
(e) You should not rely on the Services as your only record of any Customer Data. Maintain your own records in accordance with your practice and end-client record-keeping obligations.
5. What you commit to
You agree to:
(a) Actively use the Services. Connect at least one end client and generate at least one advisory report during the Pilot Period, and use the Services in the ordinary course of your practice rather than only in test conditions.
(b) Complete two feedback calls of approximately 20 minutes each, at times reasonably agreed between us during the Pilot Period.
(c) Complete two surveys of approximately 10 minutes each, within 10 business days of each being sent.
(d) Report material problems you encounter, so they can be investigated and fixed.
(e) Hold the necessary end-client authority. You confirm clause 6(h) of the General Terms: for each end client whose data you connect to or process through the Services, you hold all necessary authority, consents and authorisations, your engagement terms with that end client permit disclosure of their data to third-party software providers, and you are responsible for making any required disclosures to and obtaining any required consents from your end clients under the Privacy Act 1988 (Cth).
6. Founder Pricing — 50% lifetime discount
(a) If you achieve Successful Completion (clause 7), you are entitled to a 50% discount on our standard commercial list pricing for the Genvice platform subscription, for as long as your practice maintains a continuous subscription to the Services.
(b) How the discount works:
- (i) It applies to our standard commercial list price for the platform subscription, as that list price may vary from time to time. It is a discount off list, not a fixed dollar price, and it does not fix or freeze our pricing.
- (ii) It applies to the core platform subscription only. It does not apply to professional services, implementation, training, add-on modules, third-party pass-through costs, or usage charged separately from the subscription.
- (iii) It is not combinable with any other discount, promotion or negotiated rate. Where more than one applies, the more favourable one applies, not both.
(c) Continuity. The discount applies for as long as your practice holds a continuous subscription. If your subscription lapses for more than 60 consecutive days, the discount ends and does not revive.
(d) Not transferable. Founder Pricing is personal to your practice. It does not transfer on a sale, merger or change of control of your practice, and cannot be assigned, resold or sublicensed, without our prior written agreement (not to be unreasonably withheld).
(e) If we don't launch. Founder Pricing is a discount off pricing for a commercially released product. If we never commercially release the Services, or discontinue them, there is no price to discount and no compensation is payable. Clause 12(d)(iv) of the General Terms continues to apply.
7. Successful Completion
(a) You achieve Successful Completion if, by the end of the Pilot Period, you have:
- (i) connected at least one end client and generated at least one advisory report;
- (ii) completed both feedback calls; and
- (iii) completed both surveys.
(b) We will confirm Successful Completion to you in writing within 14 days after the end of the Pilot Period.
(c) Deemed completion. If we end the Pilot Period early for any reason other than your material breach — including because we discontinue the Program, change direction, or decide not to proceed — you are deemed to have achieved Successful Completion, provided you were meeting your Program Commitments up to that point.
(d) We will not unreasonably withhold confirmation of Successful Completion. If a Program Commitment is missed for a reason outside your reasonable control, tell us and we will act reasonably.
8. Your rights in outputs
(a) Clause 19(g) of the General Terms licenses reports and outputs to your practice after payment. That condition does not apply during the Pilot Period.
(b) Reports and outputs generated for your practice during the Pilot Period are licensed to you for your business use, including review, editing, and delivery to your end clients under your own brand, at no fee. This licence is perpetual and survives the end of the Pilot Period.
(c) Excluded from that licence, and remaining ours, are Genvice templates, models, software, prompts and know-how, consistent with clause 19(g) of the General Terms.
9. Feedback, data and confidentiality
(a) Feedback licence. You grant us a perpetual, irrevocable, worldwide, royalty-free licence to use Feedback to operate, evaluate and improve the Services, without obligation or attribution. Feedback is your professional judgement, not Customer Data, and this clause does not extend the rights we have in Customer Data.
(b) Customer Data is unchanged. Clause 19 of the General Terms applies in full during and after the Pilot Period. In particular, we will not use raw Xero or QuickBooks Online API data to train models, and our use of processed-form outputs, bookkeeper feedback and de-identified aggregated benchmarks is as set out in clause 19(d). Nothing in this FPP Agreement narrows or expands clause 19(d).
(c) Confidentiality. Clause 21 of the General Terms applies. In addition, you agree to keep confidential any non-public information about the Services you learn through the Program, including unreleased features, roadmap, pricing under development, and known defects, until we make that information public.
(d) Publicity. Neither party may name the other in public marketing without prior written consent. Consent for a specific quote, logo use or case study may be given by email and may be withdrawn on 30 days' notice for future use.
10. Term, exit, and what happens to your data
(a) This FPP Agreement starts on the Pilot Start Date and ends at the end of the Pilot Period, unless ended earlier under this clause.
(b) You may exit at any time, for any reason, by giving us written notice. Clause 12(b) of the General Terms (which requires notice, non-renewal or account closure) does not apply during the Pilot Period. If you exit before achieving Successful Completion, Founder Pricing does not apply, unless clause 7(c) applies.
(c) We may end the Program or your participation on 14 days' written notice, or immediately where clause 12(e) of the General Terms applies (security risk, unlawful use, material breach or harm to others). Clause 7(c) governs the effect on Founder Pricing.
(d) At the end of the Pilot Period, if you do not continue on a paid subscription, clauses 18 and 19(f) of the General Terms apply: you may export available Customer Data in standard formats for 30 days at no additional cost, after which we may delete it unless legally required to retain it.
(e) We will contact you before the end of the Pilot Period with the options available to you, including commercial pricing and your Founder Pricing entitlement.
(f) Clauses 6 (Founder Pricing), 8 (Your rights in outputs), 9 (Feedback, data and confidentiality) and this clause 10 survive the end of this FPP Agreement, in addition to the clauses listed in clause 20 of the General Terms.
11. Support access to your account
(a) We may need to access your account directly to diagnose a technical issue. We will seek your agreement before doing so, except where you have asked us to investigate something urgently.
(b) Any such access is logged. We access only what is necessary to resolve the issue and do not use it to review your client work.
(c) You may ask us at any time for a record of when we accessed your account and why, and we will provide it.
12. Liability
(a) Clauses 10 and 11 of the General Terms apply, including the Excluded Claims in clause 11(b) and the carve-backs in clause 11(c).
(b) Because no fees are payable during the Pilot Period, the cap in clause 11(a) of the General Terms operates as resupply of the Services, subject always to clause 11(c) and to any liability that cannot lawfully be limited or excluded under the Australian Consumer Law.
(c) Nothing in this FPP Agreement limits or excludes any right or remedy you have under the Australian Consumer Law that cannot lawfully be limited or excluded.
13. General
(a) This FPP Agreement and the General Terms record the whole agreement between us about the Program.
(b) Notices under this FPP Agreement may be given by email to the addresses each party notifies to the other. Notices to us may be sent to the address on genvice.com/contact.
(c) This FPP Agreement is governed by the laws of the Australian Capital Territory, and clauses 14, 15 and 16 of the General Terms (dispute resolution, venue, governing law) apply.
(d) We may vary this FPP Agreement only with your written agreement. Clause 1(c) of the General Terms (unilateral variation) does not apply to this FPP Agreement.
Acceptance
This document is accepted electronically at the point of application, as set out in clause 1(e). No signature is required. You should download and keep a copy for your records.
